These terms govern use of Stay Instead by SaaS vendors (“you”) and describe how Stay Instead behaves toward your customers. By connecting Stripe or configuring a cancellation flow, you agree to them.

What Stay Instead does

Stay Instead hosts a cancellation flow you place in front of your billing. It can collect cancellation feedback, present the retention offers you configure, and - when you connect Stripe and enable automatic offers - apply an approved change to a customer’s subscription on your behalf. Before any billing change, the customer is shown the exact effect and must explicitly accept it.

Stripe integration disclosure

  • You connect your own Stripe account. Stay Instead uses Stripe’s API on your behalf.
  • Stay Instead may retrieve products, prices, customers, and subscriptions as needed to evaluate and apply offers.
  • Applied actions may include a percentage discount, one free billing cycle, or a temporary payment pause - as you configure them.
  • Customers are shown the proposed change and must accept it before it is applied.
  • Stripe remains the payment processor. Stay Instead does not store payment-card details.
  • Disconnecting Stripe disables automatic offer execution. Historical audit and consent records may remain.
  • A manual, feedback-only fallback may remain available when automatic actions are not.

Your responsibilities as a vendor

You are solely responsible for:

  • Choosing lawful offer terms and describing them accurately and without deception.
  • Selecting eligible products and prices, and avoiding misleading claims (for example, a “free month” on an annual plan).
  • Honoring the discounts, free cycles, and pauses you present, and your pricing, taxes, refunds, and customer support.
  • Maintaining the Stripe permissions your flow requires and keeping your Stripe connection active.
  • Complying with applicable consumer-protection, billing, and privacy laws, and obtaining any consent your own jurisdiction requires.
  • Testing offers before enabling them for live customers and monitoring for failed actions.
  • Ensuring your return URLs and support details are correct.

How accepted offers behave

  • When a customer accepts an offer and the change succeeds, the pending cancellation is stopped and the subscription remains active.
  • Temporary discounts and pauses end as described, after which normal billing resumes automatically.
  • Stay Instead depends on Stripe and network availability. If Stripe reports a failure, no billing change is represented as successful, and the customer can continue cancelling.

No guarantees

Stay Instead does not guarantee that any particular cancellation will be retained, or that a future payment will succeed. Retention outcomes depend on your offers, your customers, and Stripe.

Acceptable use

  • Do not configure misleading, deceptive, or abusive offers.
  • Do not attempt to apply discounts or changes beyond what your configuration and Stripe permissions allow.
  • Stay Instead maintains an audit trail of billing-sensitive actions to support security and dispute handling.

Suspension and fallback

If your Stripe connection is disconnected or becomes unauthorized, automatic offer execution is suspended. A feedback-only flow may remain available so your customers are not left stranded.

Limitation of liability

To the maximum extent permitted by law, Stay Instead is provided “as is,” and Stay Instead is not liable for indirect, incidental, or consequential damages, or for billing outcomes arising from your offer configuration, your Stripe account, or third-party service failures. Nothing here limits liability that cannot be limited by law.
